Terms of Service

By accessing or using Specra, you agree to these Terms of Service. If you use Specra for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the service.

Optional use of Customer Content for generalized AI model training is governed by the additional choice, consent, or written agreement described below. Agreeing to these Terms by itself does not enroll Customer Content in model improvement, and the account setting never enrolls a session that began before its recorded grant.

You must be legally capable of entering into these Terms, provide accurate account information, and keep your credentials secure. You are responsible for activity that occurs under your account and for ensuring that authorized users comply with these Terms.

Specra is a workspace for design agents grounded in a user's codebase. The service may include a local desktop application, hosted projects and accounts, live-page and component context, design-system analysis, references, agent conversations, isolated drafts and variants, visual verification, reviewable code changes, APIs, and connected tools.

Features may use Specra models, third-party AI services, or agents and providers selected by you. Available features, models, limits, and deployment options may vary by plan and platform.

Customer Content means content submitted to, transmitted through, or intentionally made available to Specra, including prompts, code and repository context, screenshots, references, design-system information, Target UI context, messages, tool results, edits, diffs, feedback, and generated artifacts. Local content that never leaves your device is not submitted to Specra merely because you opened a codebase in the desktop application.

As between you and Specra, you retain ownership of your Customer Content. You are responsible for ensuring that you have the rights, authority, notices, and permissions needed to submit Customer Content and direct its processing.

You grant Specra a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, modify, and otherwise process Customer Content only as reasonably necessary to provide, maintain, secure, support, and troubleshoot the service; comply with your instructions; enforce these Terms; and meet legal obligations.

This operational license includes allowing service providers and selected agents to process Customer Content for those purposes. It ends when the content is deleted from active systems, subject to reasonable backup cycles, legal retention, security and fraud-prevention needs, and provisions that by their nature survive.

If you enable an optional model-improvement program, or enter into written terms authorizing training, you grant Specra a non-exclusive, worldwide, royalty-free license to use the eligible Customer Content and outcome information actually collected under that notice or agreement to create and annotate training examples and evaluation datasets and to develop, train, fine-tune, distill, test, evaluate, secure, and improve AI models and agent systems for design and software development. Enabling the account setting authorizes signed Specra desktop releases to automatically transfer eligible, sanitized sessions that begin afterward without a separate prompt for each transfer.

Eligible information may include prompts, scoped code and design context, screenshots and references, Target UI information, allowlisted observable tool lifecycle metadata and sanitized summaries, user-visible outputs and code changes, verification results, review comments, ratings, selected variants, and approval, apply, rejection, retry, and undo signals. Specra system and developer prompts, provider-private reasoning or chain-of-thought, authentication credentials, secrets detected by our safeguards, and raw or hidden tool input and output are outside this optional training license. Third-party provider-generated outputs remain excluded unless an authoritative policy permits the exact provider, model, output class, provider-terms version, and policy reference. Specra may transform, filter, redact, aggregate, or label eligible information and may permit contracted training, evaluation, annotation, and infrastructure providers to process it solely for the authorized purposes.

Specra may use and commercialize models, model weights, evaluation methods, datasets that no longer identify or reproduce Customer Content, and service improvements produced through the authorized program. This does not transfer ownership of your Customer Content to Specra or give another customer a right to access it.

For the account setting, the optional training license applies only to eligible sessions that begin after the recorded grant and are transferred through the device- and episode-bound collection flow. Withdrawal or opt-out stops new collection governed by that choice after it is processed, but does not affect lawful prior processing or automatically reverse training already completed. We will handle deletion and any required model-level measures as described in the Privacy Policy and applicable law.

Enterprise terms, data-processing agreements, or written no-training commitments control if they conflict with this section.

If you provide ideas, suggestions, or product feedback, you authorize Specra to use that feedback without restriction or compensation to improve and operate the service. If feedback includes Customer Content that would be used for generalized model training, the optional model-improvement conditions above still apply.

You must not submit content you are not authorized to use or content that violates law, contract, intellectual-property, confidentiality, publicity, or privacy rights. You are responsible for reviewing the scope and content sent to an agent or provider before directing a run.

Unless expressly supported by the applicable feature and agreement, do not submit credentials, secrets, export-controlled information, protected health information, biometric identifiers, children's personal information, or other regulated or highly sensitive data.

You may not use Specra to violate the law; infringe intellectual-property or privacy rights; create or distribute malware; interfere with the service; evade limits or safeguards; scrape or abuse the platform; gain unauthorized access to systems or data; or use generated outputs to deceive, harm, or unlawfully discriminate against others.

AI outputs and agent actions may be incomplete, inaccurate, insecure, infringing, or unsuitable for a particular use. Model behavior may vary across runs and providers.

You are responsible for reviewing outputs, permissions, changed files, dependencies, and visual or functional results before applying changes or using them in production, commercial, regulated, or customer-facing workflows. Specra's review and verification tools reduce risk but do not replace your judgment or testing.

Specra may interoperate with third-party models, agents, authentication providers, payment services, hosting platforms, and connected tools. Third-party services may have separate terms, privacy practices, usage limits, and fees. You are responsible for any provider account or credentials you connect and for complying with the terms that apply to it.

Paid plans, included usage, overage rates, taxes, billing intervals, and cancellation terms are shown at purchase or in the applicable order form. You authorize us and our payment provider to charge amounts incurred under the plan you select.

Unless otherwise stated at purchase or required by law, fees are non-refundable. We may change pricing or limits prospectively by posting updated terms or providing notice through the service. Changes do not alter charges already incurred.

We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay amounts due, or misuse the service. You may stop using the service at any time and may request deletion as described in the Privacy Policy.

Payment obligations, ownership provisions, licenses for processing completed before termination, disclaimers, liability limitations, and other provisions that by their nature should survive will survive termination.

Specra, including its software, models, evaluation systems, interfaces, branding, and related technology, is owned by Specra and its licensors and is protected by applicable intellectual-property laws. Except for the limited rights necessary to use the service, these Terms do not grant you ownership of Specra technology.

Specra is provided on an 'as is' and 'as available' basis, without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law.

To the maximum extent permitted by law, Specra will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, business opportunities, or data arising from or related to the service.

We may update these Terms prospectively. The account model-improvement setting never applies to sessions that began before its recorded grant. If a change materially expands how other previously collected Customer Content may be used, we will provide additional notice and obtain consent when required rather than relying solely on a silent or retroactive amendment.

These Terms are governed by the laws of the applicable jurisdiction for the operator of Specra, without regard to conflict-of-law principles, except where mandatory law provides otherwise.
